  27. Article 27 — Governing law and jurisdiction

These Terms govern the bicycle, equipment and accessory rental service provided by Michi Capital Co., Ltd. (みちキャピタル株式会社, the “Company”) under the name “M Gear” (the “Service”).

When using the Service, the renter must comply with these Terms, the Rental Conditions Confirmation, the cancellation policy, the privacy policy and any other conditions presented by the Company.

Article 1 — Scope and priority

These Terms apply to all relations between the Company and the renter concerning the Service.

If the Rental Conditions Confirmation, displayed prices or other conditions presented by the Company for an individual rental differ from these Terms, those individual conditions take priority.

Article 2 — Rental requests and formation of the contract

Submitting a rental request on the website does not create a booking or rental contract.

The Company determines whether a rental can proceed after checking bicycle availability, the renter’s physical characteristics, riding experience, intended use, riding locations, race or event use, identity and other necessary matters.

If the rental can proceed, the Company presents the bicycle, rental period, charges, security deposit, handover and return arrangements and other important conditions in the Rental Conditions Confirmation or by another method specified by the Company.

The rental contract is formed when the renter agrees to the Rental Conditions Confirmation, these Terms and the other conditions presented by the Company, and completes payment of the specified rental charges and other required amounts.

Article 3 — Eligibility

The Service is generally intended for people aged 18 or over.

The bicycles offered through the Service are primarily intended for renters with basic knowledge and experience of handling high-performance carbon road bikes.

Even without experience owning or using a carbon bike, a renter may be permitted to rent at the Company’s discretion if they fully understand and explicitly agree to the characteristics of carbon frames and wheels, the risk of damage from falls or impacts, responsibility for costs and other important information explained by the Company.

The Company may refuse a rental if it reasonably considers safe use difficult, the bicycle size is substantially unsuitable, information provided is false, identity cannot be verified, the renter is under the influence of alcohol or otherwise unable to ride normally, or there are other reasonable concerns about safety or protection of the bicycle.

Article 4 — Identity verification

The renter must present an official photo identification document specified by the Company.

The identification document must be submitted in advance by the method specified by the Company, or the original must be presented at handover so that the Company can obtain a copy or photograph.

The Company uses identification documents to the extent necessary for identity verification, contract management, handling accidents, theft and damage, and other appropriate operation of the Service.

Identification documents are generally retained for one year after the rental ends and then deleted. If an accident, theft, damages claim, payment dispute or other issue remains unresolved, they may be retained for the period necessary to resolve it.

When a My Number Card is used for identity verification, the Company does not obtain the reverse side showing the individual number.

Article 5 — Rental period

The rental period runs from the starting date and time to the ending date and time stated in the Rental Conditions Confirmation.

Previous-day collection, early-morning collection and other nonstandard handover arrangements follow the conditions stated in the Rental Conditions Confirmation.

An extension of the rental period requires the Company’s prior approval.

Article 6 — Charges

The renter must pay the rental charges, option charges, handover-related charges and other agreed costs stated in the Rental Conditions Confirmation.

Where additional charges are known in advance, the Company generally explains them before payment.

This does not apply to charges arising after the rental begins, including damage to or loss of the bicycle, late return, additional assistance or other events arising after the rental begins.

Article 7 — Security deposit

The renter must provide the security deposit specified by the Company for the rental.

The amount and method of the deposit are stated in the Rental Conditions Confirmation or on another screen presented before payment.

The Company may apply the deposit towards unpaid charges, inspection, repair or replacement costs, losses from theft or loss, compensation for periods when the bicycle cannot be rented, and other amounts payable by the renter under these Terms.

The deposit amount is not a limit on the renter’s liability for damage or loss.

Article 8 — Release or refund of the deposit

After return, the Company generally checks the bicycle and accessories within approximately two to three business days.

If no issues are found, the deposit is promptly released or refunded after the check, generally within seven days of return.

Processing may take more than seven days if an accident, fall, impact, abnormality or other circumstance requires additional specialist inspection. The Company will notify the renter in that case.

Article 9 — Handover

The bicycle is generally handed directly to the renter by the Company or a person designated by the Company at the date, time and location agreed in the Rental Conditions Confirmation.

For handover at a hotel or other accommodation, the Company generally attends in person and hands the bicycle directly to the renter at the entrance, lobby or another agreed location.

Leaving the bicycle in advance with a hotel or other third-party facility is permitted only if that facility has explicitly agreed to receive and store it.

Delivery by an ordinary parcel or courier service is not the standard handover method for the Service.

Article 10 — Condition checks at handover and return

At handover and return, the Company may record the condition of the bicycle, frame, wheels, tyres, components, accessories and other items in photographs or video as necessary.

The renter is not responsible for pre-existing scratches, normal signs of use or other conditions not attributable to them.

Article 11 — The renter’s duty of care

Throughout the rental, the renter must store and use the bicycle and accessories with the care of a prudent person.

The renter must comply with Japan’s Road Traffic Act and other applicable laws, use the bicycle safely, and lock it appropriately when necessary.

If an abnormality, impact, accident or other event that may affect safety occurs, the renter must stop riding and promptly contact the Company.

Article 12 — Prohibited acts

Without the Company’s prior approval, the renter must not sublet the bicycle, allow anyone other than the applicant to use it, modify it, replace parts, alter it, resell it or take it outside Japan.

Use under the influence of alcohol, illegal drugs or other conditions affecting riding ability is prohibited.

Article 13 — Race and event use

The renter must disclose in the rental request any intended use in a race, triathlon, hill climb, cycling event or other competition or event.

The renter is responsible for checking compliance with the organiser’s competition rules, bicycle rules and other participation requirements.

The Company may assist with setup adjustments where possible but does not guarantee compliance with any particular competition rules.

Article 14 — Fitting

The Company may make reasonable adjustments to the saddle, aero bars or other equipment based on the height, inseam and other information provided by the renter.

These adjustments are not a professional bike-fitting service and do not guarantee physical suitability, comfort, competitive performance or injury prevention.

Article 15 — Important information about carbon components

The rental bicycle uses a carbon frame, carbon wheels and other high-performance carbon components.

Falls, impacts, compression, dropping or other incidents may cause internal structural damage to carbon components even when external damage is minor or not visible at all.

An inspection by the manufacturer, an authorised dealer, a specialist or another appropriate person may therefore be necessary even if no clear external damage is visible.

If safety cannot reasonably be confirmed following inspection, the affected component or the entire bicycle may need replacement rather than repair.

If such damage arises from circumstances attributable to the renter, the renter must pay inspection fees, repair costs, parts, labour, replacement costs and other reasonably necessary expenses.

If the same product is unavailable, replacement costs may be based on an item with equivalent performance, specifications and market value.

As an indication at the time these Terms were established, replacing the entire rental bicycle is expected to cost approximately ¥800,000. Actual costs vary with the damage, items being replaced, product prices, availability and other circumstances.

Article 16 — Punctures and tyre damage

The rental bicycle uses tubeless tyres.

Sealant may automatically close minor punctures. However, the renter must pay reasonable repair or replacement costs for a puncture that prevents riding, a tyre tear, sidewall damage or other tyre damage requiring repair or replacement.

Where a tyre must be replaced, the indicative cost is approximately ¥20,000 per tyre, including the tyre, sealant, labour and related expenses. Actual costs vary with the damage and parts used.

If tyre damage also damages the wheel or other components, their repair or replacement costs are payable separately by the renter.

Article 17 — Accidents and breakdowns

Following an accident, fall, collision, major breakdown or other serious incident, the renter must first ensure safety, contact the police, fire service, ambulance or other relevant authorities as necessary, and promptly contact the Company.

The renter must not carry out major repairs, replace parts or otherwise change the condition of the bicycle without the Company’s approval, except where necessary to secure safety in an emergency.

Article 18 — Harm to third parties and the renter’s own accidents

The renter is responsible for riding and using the bicycle throughout the rental period.

The renter is responsible for injury, death, property damage or other harm to themselves or third parties arising from their riding, participation in competitions, road conditions, contact with third parties or other circumstances not attributable to the Company.

If the renter causes harm to a third party, the renter must resolve the matter at their own responsibility and expense.

This does not exclude responsibility where the Company is liable because of its intentional acts, negligence or other applicable legal grounds.

Article 19 — Theft and loss

If the bicycle or accessories are stolen or lost during the rental, the renter must immediately report the matter to the police or other relevant authorities and contact the Company.

If the renter cannot return the bicycle because of theft, loss or another reason while it is under their care, they must pay the reasonable costs of obtaining the same bicycle and equipment, or equivalents with comparable performance, specifications and market value.

As an indication at the time these Terms were established, replacing the rental bicycle and equipment costs approximately ¥800,000. Actual costs vary with market prices, specifications, availability and other circumstances.

The security deposit may be applied towards part of those costs, but does not limit the renter’s liability to the deposit amount.

If circumstances attributable to the Company are involved, those circumstances will be taken into account.

Article 20 — Losses while the bicycle cannot be rented

If an accident, fall, impact, puncture, theft, loss, misuse or other circumstance attributable to the renter requires inspection, repair, replacement or other action, and the Company cannot rent out the bicycle during that period, the renter must pay reasonable compensation for that period in addition to repair, replacement and other actual expenses.

The compensation is calculated taking into account normal rental charges, the period during which the bicycle cannot be rented, the effect on already-confirmed bookings, actual lost revenue or refunds, availability of a replacement bicycle, the time reasonably necessary for inspection, repair or replacement, and other circumstances.

If that circumstance directly prevents the Company from fulfilling an already-confirmed rental to a third party and causes an actual loss, that reasonable loss may also be considered when calculating the compensation.

Article 21 — Extensions and late return

An extension of the rental period or a change to the return date or time requires the Company’s prior approval.

Normal extension charges apply where sufficient advance notice is given and the Company approves the change.

If a last-minute change, an unauthorised extension or another circumstance on the renter’s side prevents the Company from receiving the bicycle at the originally agreed time and place, the Company may instruct the renter to use another return or storage arrangement.

Storage at a hotel or other facility is permitted only if that facility has explicitly agreed to receive and store the bicycle.

If a facility cannot receive it, the renter may lock and store the bicycle at a designated location in accordance with the Company’s instructions or approval.

The renter’s responsibility for the bicycle continues until the Company actually receives it or explicitly confirms that the return is complete.

If theft, loss or damage occurs during that time, the relevant provisions of these Terms apply.

If a last-minute change or late return requires additional waiting, travel, a further visit, storage arrangements or other assistance, the renter must pay the reasonable additional costs incurred.

Article 22 — Cancellation

The following conditions apply to ordinary cancellations.

Cancellation at least 48 hours before the rental start time is free of charge.

Cancellation at least 24 hours but less than 48 hours before the rental start time incurs a cancellation charge of 50% of the rental charges.

Cancellation less than 24 hours before the rental start time, or a no-show, incurs a cancellation charge of 100% of the rental charges.

Any separately specified special rules for rain or other weather take priority.

Article 23 — Weather

If rain is forecast during the rental period, the renter may cancel or change the dates free of charge up to the end of the day before the rental starts.

The Company generally uses the forecast available at 17:00 Japan Standard Time on the day before the rental starts as a reference for its assessment.

From the rental start date onwards, cancellation due to ordinary rain is subject to the normal cancellation policy.

If the Company cancels the rental because it reasonably considers safe handover or riding difficult due to heavy rain, strong winds, lightning, snow or other severe weather, all rental charges already paid for that booking will be refunded.

For multi-day rentals, the deadline for deciding on a free cancellation or date change due to rain is also generally the day before the rental starts.

Weather deterioration after the rental has begun generally does not qualify for a refund.

Article 24 — Cancellation by the Company for safety reasons

The Company may cancel a booking if a pre-rental inspection cannot adequately confirm the bicycle’s safety, or it reasonably considers safe rental difficult because of a fault, damage, a defective part or another circumstance.

In that case, the Company refunds all rental charges paid for the booking and fully releases or refunds the deposit.

Article 25 — Personal information

The Company uses the renter’s personal information for booking management, identity verification, payment, customer support, handling accidents, theft and damage, safe operation of the Service, and other purposes stated in the privacy policy.

Further details are set out in the privacy policy.

Article 26 — Changes to these Terms

The Company may change these Terms where reasonably necessary because of changes in law, changes to the Service or other circumstances.

Revised Terms will be announced on the website or by another appropriate method.

Rental contracts already formed are generally governed by the conditions applicable when the contract was formed.

Article 27 — Governing law and jurisdiction

These Terms and contracts concerning the Service are governed by Japanese law.

To the extent permitted by law, disputes concerning the Service are subject to the agreed jurisdiction, at first instance, of the court with jurisdiction over the Company’s location.
